The management and the supervisory board of an rbb subsidiary are still liable for possible damage. The acting director of the station has rejected a discharge. In addition, a managing director was dismissed. From the rbb research team*
According to information from the rbb research team*, the acting director of the station, Jan Schulte-Kellinghaus, refused to discharge the management and the supervisory board of the wholly owned subsidiary rbb media GmbH on Tuesday. The confirmation of the annual financial statements has been deferred. In addition, a managing director was dismissed, as rbb-Media managing director Edda Kraft confirmed on request.
The dismissed managing director is a confidant of the former director Patricia Schlesinger, who has since been terminated without notice. Schulte-Kellinghaus did not want to comment on the reasons for the dismissal, citing the “confidentiality of the shareholders’ meeting”. The dismissal of managing directors is also possible without reason.
Management remains liable
At the shareholders’ meeting, the management and the supervisory board were originally supposed to be discharged for the 2021 financial year. In addition, the annual financial statements for 2021 should be approved. The rbb as sole shareholder was represented by Schulte-Kellinghaus, because the managing director Hagen Brandstätter is currently on sick leave.
Hagen Brandstätter is also a member of the rbb media supervisory board. Until recently, the chairman was Wolf-Dieter Wolf, who was also chairman of the rbb board of directors until his retirement. The Berlin Public Prosecutor’s Office is investigating Wolf, and there are suspicions of infidelity and corruption offences. Wolf denies the allegations. Schlesinger and her husband Gerhard Spörl are also being investigated in this context.
The lack of discharge has consequences for the members of the managing directors and the members of the supervisory board. If they have breached their obligations in the past, they could still be held liable for possible damages.
The law firm Lutz Abel commissioned by rbb is currently investigating possible compliance violations at rbb. According to information from the research team, the result should be awaited.
